Agreement Structure

This Agreement includes Part 1 – General Terms and Part 2 – Country/Region Specific Terms. If there’s a conflict, Part 2 prevails for the covered territory. This EULA is a binding agreement between you and Vauve Life for use of our website and web services (the “Site”).

BY ACCESSING OR USING THE SITE, YOU: (a) CONFIRM YOU’VE READ AND UNDERSTOOD THIS EULA; (b) ARE LEGALLY COMPETENT (18+ or using with lawful parental/guardian consent where allowed); AND (c) ACCEPT THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

PART 1 — GENERAL TERMS

  1. Website License
    • We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and public web features, content, and services (collectively, “Content and Services”) for personal, non-commercial purposes, subject to this EULA, our Terms & Conditions, Rules of Use, Hotel Rules, and Privacy Policy (together, the “Vauve Life Terms”).
  2. Restrictions
    • ​​​​​​​You must not: (i) copy, modify, adapt, translate, or create derivative works of the Site or Content; (ii) reverse engineer or attempt to extract source code of any web component except where legally permitted; (iii) remove or alter proprietary notices; (iv) frame, scrape, spider, or use automated means to access the Site outside documented robots.txt allowances; (v) rent, lease, sell, sublicense, distribute, or commercially exploit the Site/Content; (vi) upload malware, interfere with security, or bypass access controls; (vii) use the Site in violation of applicable laws (including state excise restrictions on alcohol references, DPDP Act 2023, IT Act/Rules, Consumer Protection rules).
  3. Accounts
    • ​​​​​​​You’re responsible for account security (login, OTP, device access). Notify us immediately of unauthorized use. We may suspend or terminate access for suspected fraud, abuse, or legal/compliance reasons.
  4. Ownership; Reservation of Rights
    • ​​​​​​​The Site and Content are licensed, not sold. Vauve Life (and its licensors) retain all IP rights. No rights are granted except as expressly stated.
  5. Your Information & Privacy
    • ​​​​​​​We collect and process data as described in our Privacy Policy (DPDP-aligned). By using the Site, you consent to that processing. Non-essential cookies/SDKs for ads/remarketing only run with consent.
  6. Content and Services; Offers
    • ​​​​​​​Site modules may include merchant pages, offers, redemption flows, bookings (e.g., hotels), communications, and payments links. Use of these modules is governed by this EULA and the applicable Vauve Life Terms. If you breach those terms, you breach this EULA.
    • Restricted Sections (Alcohol references)
      • ​​​​​​​Sections referencing alcohol are for access only where lawful under applicable state/UT excise laws (age thresholds, local prohibitions). In dry or restricted jurisdictions, do not access those sections. You bear the risk of non-compliance; Vauve Life is not liable for unlawful access or use.
  7. Third-Party Materials & Links
    • ​​​​​​​We may display or link to third-party websites, widgets, payments, maps, analytics, ads/attribution (where consented). We’re not responsible for third-party materials; your use is at your risk and governed by their terms.
  8. Changes; Availability
    • ​​​​​​​We may change, suspend, or discontinue any Site feature or content at any time. We may also update this EULA under Section 16 below.
  9. Prohibited Conduct (examples)
    • ​​​​​​​Misrepresenting identity, resale of offers, voucher arbitrage, scraping inventory, or stacking offers contra the Rules of Use/Hotel Rules.
    • Posting unlawful, infringing, defamatory, or harmful content.
    • Attempting to bypass geo-, age-, or role-based restrictions.
  10. Disclaimer
    • ​​​​​​​TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY, OR ERROR-FREE OPERATION. Mandatory consumer law rights are unaffected.
  11. Limitation of Liability
    • ​​​​​​​TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAUVE LIFE, ITS AFFILIATES, LICENSORS, AND PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS/REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SITE OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO VAUVE LIFE (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Non-excludable statutory rights remain.
  12. Indemnity
    • ​​​​​​​You agree to indemnify and hold harmless Vauve Life, its directors, officers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of this EULA, misuse of the Site, violation of law, or infringement of third-party rights.
  13. IP Complaints & Takedown
    • ​​​​​​​Report alleged infringement to legal@vauvelife.in with sufficient detail (works, URLs, proof of rights/authority). We may remove or disable access and act at our discretion.
  14. Open-Source & Licenses
    • ​​​​​​​Web components may incorporate open-source software governed by their licenses. Those licenses apply to their components. Notices may appear on the Site.
  15. Suspension & Termination
    • ​​​​​​​We may suspend or terminate your access (with or without notice) for breach, fraud, security risks, legal requirements, or discontinuation. On termination, your license ends and you must stop using the Site. Accrued rights/remedies survive.
  16. Changes to this EULA
    • ​​​​​​​We may modify this EULA to reflect legal, security, or operational changes. Material updates will be notified on the Site (and, where required, we’ll seek consent). Your continued use after the effective date constitutes acceptance.
  17. Severability; Waiver
    • ​​​​​​​If any provision is invalid/unenforceable, it will be enforced to the maximum extent permitted and the remainder will stay in effect. Failure to enforce is not a waiver.
  18. Entire Agreement; Order of Precedence
    • ​​​​​​​This EULA plus the Vauve Life Terms form the entire agreement for website use and supersede prior understandings about the Site. If there’s a conflict specific to Site usage, this EULA controls (unless Part 2 overrides).
  19. Limitation Period
    • ​​​​​​​To the maximum extent permitted by law, any claim related to the Site or this EULA must be filed within one (1) year from when it arose; otherwise it is time-barred.

PART 2 — COUNTRY/REGION SPECIFIC TERMS

India

  1. Governing Law & Jurisdiction
    • ​​​​​​​​​​​​​​This EULA is governed by the laws of India. Subject to applicable consumer laws, the courts at [Mumbai/New Delhi – choose one], India, have exclusive jurisdiction over disputes arising from or relating to this EULA or the Site. We may seek equitable relief (e.g., IP/ confidentiality) in any competent court.
  2. Data Protection
    • ​​​​​​​We process personal data per the Digital Personal Data Protection Act, 2023 (DPDP Act) and applicable rules. See our Privacy Policy for your rights, grievance redressal, international transfers, retention, and security measures.
  3. Consumer & E-commerce Compliance
    • ​​​​​​​Nothing here excludes rights you may have under Indian consumer laws that cannot be excluded. If any disclaimer/limitation conflicts with non-excludable rights, it applies only to the maximum extent permitted.
  4. Alcohol/Excise Compliance
    • ​​​​​​​Where the Site references alcohol offers, you must comply with state/UT excise laws (age limits, dry zones, timing/venue rules). Access/use is prohibited where restricted. Merchants may require proof of age/eligibility.
  5. Payments (if any on Site)
    • ​​​​​​​Payments are processed by RBI-regulated partners (e.g., UPI PSPs, gateways). We do not store full card/CVV. Refunds/chargebacks follow our Terms & Conditions and payment partner policies.
